These Terms of Use govern your access to and use of DoorReach, including the website located at doorreach.com, the DoorReach web application, customer workspaces, and related services provided by Flagtail Consulting Inc. ("DoorReach," "Flagtail," "we," "us," or "our").

By accessing or using DoorReach, creating an account, accepting an invitation to a DoorReach workspace, or using any related service, you agree to these Terms. If you are using DoorReach on behalf of an organization, campaign, candidate, company, nonprofit, public body, or other client, you represent that you have authority to accept these Terms on its behalf.

If you do not agree to these Terms, you must not access or use DoorReach.

Plain-English summary

DoorReach helps organizations manage canvassing, outreach, and field activity.

Your organization owns the data it creates or brings into DoorReach, including canvasses, notes, voter lists, supporter lists, contact lists, and customer-provided addresses.

DoorReach may provide address data and tools to help build canvasses. Your organization can use the DoorReach addresses assigned to its specific canvasses, including after leaving DoorReach. DoorReach still owns its underlying software, tools, and address database.

DoorReach staff or authorized service providers may access customer workspaces only when reasonably needed for support, debugging, security, maintenance, legal compliance, or with customer permission.

Customers are responsible for making sure they have the legal right to collect, import, use, and contact people using the data they put into DoorReach.

This summary is provided to make these Terms easier to understand. If there is a conflict between this summary and the rest of these Terms, the rest of these Terms will apply.

1. Definitions

"Customer" means the organization, campaign, candidate, company, nonprofit, public body, or other entity that creates, pays for, controls, or authorizes use of a DoorReach workspace.

"Authorized User" means a person invited or permitted by a Customer to access or use DoorReach, including staff, volunteers, canvassers, contractors, administrators, or other representatives.

"Customer Data" means data, content, records, files, notes, canvasses, canvass records, canvass notes, canvass responses, canvass tags, canvass routes, canvass turfs, voter lists, supporter lists, contact lists, customer-contributed addresses, survey responses, metadata, or other materials submitted, uploaded, imported, created, stored, or processed by or on behalf of a Customer or Authorized User in DoorReach.

"DoorReach Data" means data, datasets, software-generated data, address data, address-matching data, base geographic data, routing data, templates, platform data, aggregated data, de-identified data, and other information, tools, or materials provided, created, licensed, or made available by DoorReach as part of the Service, excluding Customer Data.

"Assigned Address Data" means DoorReach-provided address data that is selected, assigned, attached, copied, displayed, exported, or otherwise made available to a specific Customer canvass for the Customer's permitted use of that specific canvass.

"Customer Work Product" means canvasses, canvass exports, canvass reports, canvass notes, canvass tags, canvass responses, canvass routes, canvass turfs, and other canvass-specific outputs created by or for a Customer using the Service, including the specific DoorReach-provided address data assigned to that canvass.

"Personal Information" means information about an identifiable individual, as defined under applicable privacy laws.

"Service" means the DoorReach website, application, workspaces, tools, databases, software, APIs, documentation, support, and related services.

2. Accounts and authorized users

Customers are responsible for all activity that occurs under their accounts and workspaces, including activity by Authorized Users.

Customers must ensure that Authorized Users comply with these Terms. A breach of these Terms by an Authorized User will be treated as a breach by the Customer.

You agree to provide accurate account information and to keep login credentials secure. You must notify DoorReach promptly if you become aware of unauthorized access to your account or workspace.

DoorReach may refuse, suspend, or terminate access to any account or workspace if we reasonably believe there has been unauthorized use, a security risk, a legal risk, nonpayment, or a breach of these Terms.

3. Customer Data, DoorReach Data, and Assigned Address Data

As between DoorReach and the Customer, the Customer owns Customer Data.

Customer Data includes customer-created canvasses, customer-created canvass notes, customer-created canvass responses, customer-created canvass tags, customer-created canvass routes, customer-created canvass turfs, voter lists, supporter lists, contact lists, customer-contributed addresses, files, and other information submitted, uploaded, imported, or created by or on behalf of the Customer or its Authorized Users.

As between DoorReach and the Customer, DoorReach owns DoorReach Data.

DoorReach Data may include address data, address-matching data, base geographic data, routing data, templates, platform-generated data, software, tools, databases, and other materials that DoorReach provides, licenses, creates, or makes available through the Service.

A Customer's use of DoorReach may combine Customer Data with DoorReach Data. For example, a Customer-created canvass may include addresses supplied by DoorReach. In that case, the Customer owns the Customer-created canvass and Customer Data within it. DoorReach retains ownership of its underlying software, platform, tools, and address database.

DoorReach grants the Customer a limited, non-exclusive, non-transferable licence to use Assigned Address Data only as part of the specific canvass to which that Assigned Address Data was assigned.

The Customer may use, view, organize, export, print, download, retain, share internally, and otherwise use Assigned Address Data as part of the specific canvass to which that Assigned Address Data was assigned, including related canvass exports, canvass reports, canvass notes, canvass responses, canvass routes, and canvass turfs, for the Customer's own campaign, canvassing, outreach, organizational, or business purposes, including after the Customer stops using DoorReach.

The Customer may not use Assigned Address Data to create, reconstruct, extract, sell, resell, publish, sublicense, scrape, bulk download, separately commercialize, or redistribute DoorReach Data or any standalone dataset, address database, mapping product, or data product.

The Customer may not use DoorReach or Assigned Address Data to obtain addresses outside the specific canvasses for which those addresses were assigned.

The Customer grants DoorReach a limited, non-exclusive, worldwide licence to host, copy, process, transmit, display, back up, secure, troubleshoot, maintain, and otherwise use Customer Data only as reasonably necessary to:

  1. provide the Service;
  2. administer accounts and workspaces;
  3. provide support and debugging;
  4. maintain, secure, test, and improve the Service;
  5. prevent or investigate fraud, abuse, technical issues, or security incidents;
  6. comply with legal obligations; and
  7. carry out other purposes described in these Terms or our Privacy Policy.

DoorReach does not sell Customer Data.

DoorReach may use aggregated or de-identified information derived from use of the Service for analytics, product improvement, security, reporting, or business purposes, provided that the information does not identify a Customer, Authorized User, or individual person.

4. DoorReach staff access to Customer Data

DoorReach personnel and authorized service providers may access Customer workspaces, accounts, Customer Data, Customer Work Product, and Assigned Address Data only as reasonably necessary to:

  1. provide, operate, maintain, secure, troubleshoot, or improve the Service;
  2. respond to support requests;
  3. investigate bugs, errors, outages, abuse, or security incidents;
  4. perform administrative, billing, or account-management functions;
  5. comply with legal obligations;
  6. enforce these Terms; or
  7. act with the Customer's consent or instructions.

DoorReach will use reasonable administrative, technical, and organizational safeguards designed to limit staff access to appropriate purposes. These safeguards may include access controls, confidentiality obligations, logging, role-based permissions, and internal policies.

Customers acknowledge that support, debugging, and service maintenance may require DoorReach personnel or authorized service providers to view or access information in a Customer workspace.

5. Customer responsibilities for data and compliance

Customers are responsible for ensuring that they have the legal right to collect, import, upload, use, disclose, contact, and otherwise process all Customer Data provided to DoorReach.

Customers are responsible for their own compliance with applicable laws, including privacy laws, election laws, campaign-finance laws, communications laws, anti-spam laws, telemarketing rules, voter-contact rules, and rules that apply to political parties, candidates, campaigns, nonprofits, public bodies, or other organizations.

Customers must provide all notices, obtain all consents, maintain all records, and honour all opt-out or suppression requests required for their use of DoorReach.

DoorReach is a service provider and platform provider. DoorReach does not determine whether a Customer is legally permitted to contact a person, use a voter list, import a dataset, send a message, conduct outreach, or run a campaign activity.

6. Privacy

Our Privacy Policy explains how DoorReach collects, uses, discloses, stores, and protects Personal Information. By using DoorReach, you agree that we may handle Personal Information as described in our Privacy Policy.

Customers are responsible for providing their own privacy notices where required by law, including to voters, residents, constituents, supporters, volunteers, staff, contractors, or other individuals whose information is entered into DoorReach.

If there is a conflict between these Terms and the Privacy Policy about how DoorReach handles Personal Information, the Privacy Policy will apply for privacy matters, unless these Terms provide greater protection for Customer Data.

7. Acceptable use

You must not use DoorReach, and must not permit anyone else to use DoorReach, to:

  1. violate any applicable law, regulation, court order, or legal obligation;
  2. collect, import, upload, use, or disclose Personal Information without the right to do so;
  3. send unlawful, unauthorized, misleading, or non-compliant communications;
  4. engage in voter intimidation, voter suppression, harassment, threats, impersonation, discrimination, or deceptive outreach;
  5. upload information that is false, misleading, unlawfully obtained, or materially harmful;
  6. attempt to access another Customer's workspace, account, data, or systems without authorization;
  7. bypass, disable, interfere with, or test the vulnerability of DoorReach's security controls without written permission;
  8. reverse engineer, decompile, disassemble, scrape, copy, resell, mirror, or commercially exploit the Service except as expressly permitted by DoorReach;
  9. introduce malware, harmful code, spam, excessive automated requests, or other material that could harm DoorReach or third parties;
  10. infringe the intellectual property, privacy, publicity, or other rights of DoorReach or any third party;
  11. use DoorReach for unlawful advertising, spam, phishing, fraud, or deceptive practices;
  12. use DoorReach in a way that could damage, disable, overburden, or impair the Service;
  13. use DoorReach Data or Assigned Address Data to create, reconstruct, sell, publish, redistribute, or bulk export a standalone address database, mapping product, or data product, or to obtain addresses outside the specific canvasses for which they were assigned; or
  14. encourage or assist anyone else to do any of the above.

DoorReach may suspend or restrict access to the Service if we reasonably believe that use of the Service violates this section.

8. SMS, MMS, email, and other communications

DoorReach may send administrative, transactional, support, account, billing, security, and service-related communications to Customers and Authorized Users.

If DoorReach sends SMS or MMS messages directly, we will do so only where we have the required consent or other lawful basis. Message and data rates may apply, depending on the recipient's carrier.

To opt out of SMS/MMS messages from DoorReach, reply "STOP" or "UNSUBSCRIBE" to a message where that option is provided, or contact us at info@doorreach.com. Some administrative or service-related communications may still be necessary to provide the Service.

Customers are responsible for ensuring that any SMS, MMS, email, phone, or other outreach conducted by the Customer or its Authorized Users through or using information from DoorReach complies with all applicable laws and consent requirements.

DoorReach is not responsible for the legality of Customer-directed outreach, campaign messages, canvassing scripts, calling activity, text messages, emails, or other communications.

9. Fees, invoices, and payment

Fees, payment amounts, pay-what-you-can contributions, project fees, service fees, billing periods, usage limits, modules, and payment terms may be set out in an order form, invoice, statement of work, online checkout, written agreement, or other written arrangement between DoorReach and the Customer.

Unless otherwise stated in writing, fees are due according to the applicable invoice, order form, checkout flow, statement of work, or written arrangement. Fees are exclusive of applicable taxes, which the Customer is responsible for paying.

DoorReach may suspend or terminate access to the Service for overdue amounts after providing reasonable notice, unless prohibited by law or agreed otherwise in writing.

All fees are non-refundable unless required by law or expressly stated in writing by DoorReach.

10. Trials, pilots, and beta features

DoorReach may offer trials, pilots, previews, beta features, or experimental functionality. These may be modified, limited, suspended, or discontinued at any time.

Beta or pilot features may be incomplete, may contain errors, and may not be suitable for production use. DoorReach provides beta and pilot features "as is" and does not guarantee that they will become generally available.

11. Service availability and support

DoorReach will use commercially reasonable efforts to provide the Service. However, we do not guarantee that the Service will be uninterrupted, error-free, secure, or available at all times.

The Service may be unavailable due to maintenance, updates, outages, third-party service failures, security incidents, or events outside our reasonable control.

Unless a separate written support agreement applies, support is provided at DoorReach's discretion and may depend on the Customer's plan, payment status, and the nature of the request.

12. Security

DoorReach will use reasonable administrative, technical, and organizational safeguards designed to protect Customer Data against unauthorized access, use, disclosure, alteration, and destruction.

No online service can be completely secure. Customers are responsible for using strong passwords, protecting credentials, managing Authorized Users, removing users who should no longer have access, and promptly notifying DoorReach of suspected unauthorized access or security issues.

Customers must not disclose login credentials to unauthorized persons or allow shared accounts unless DoorReach expressly permits shared accounts for a specific use case.

13. Data export, retention, and deletion

During an active access period, project, pilot, or service period, Customers may request access to or export of Customer Data and Customer Work Product, subject to technical limitations, plan limits, and reasonable verification requirements.

Customer exports may include Assigned Address Data only where that Assigned Address Data forms part of the specific canvass to which it was assigned, including related canvass exports, canvass reports, canvass notes, canvass responses, canvass routes, or canvass turfs.

After termination, cancellation, expiry, or nonpayment, the Customer may continue to use Assigned Address Data that was already included in the specific canvass to which it was assigned, provided that the Customer does not use it to create, reconstruct, sell, resell, publish, sublicense, separately commercialize, or redistribute a standalone dataset, address database, mapping product, or data product.

After termination, cancellation, expiry, or nonpayment, DoorReach may restrict access to the Customer workspace. DoorReach may retain Customer Data and Customer Work Product for a limited period to allow reactivation, export, backup restoration, legal compliance, billing, dispute resolution, security, fraud prevention, or legitimate business purposes.

Customers may request deletion of Customer Data by contacting DoorReach. DoorReach will make reasonable efforts to delete Customer Data, subject to backups, logs, legal obligations, security records, accounting records, dispute records, and other information that DoorReach is permitted or required to retain.

Backup copies may persist for a limited period before being overwritten or deleted according to DoorReach's backup practices.

14. Intellectual property

DoorReach and its licensors own all rights, title, and interest in and to the Service, including software, design, interfaces, workflows, features, templates, documentation, trademarks, trade names, logos, DoorReach Data, databases, address data, address-matching tools, routing tools, and other materials.

Subject to these Terms, DoorReach grants Customers and Authorized Users a limited, non-exclusive, non-transferable, revocable right to access and use the Service for the Customer's internal business, campaign, outreach, or organizational purposes.

These Terms do not transfer ownership of DoorReach's intellectual property, software, tools, platform, or underlying address database to any Customer or Authorized User.

Nothing in these Terms prevents DoorReach from using, maintaining, improving, correcting, updating, expanding, commercializing, or providing DoorReach Data, software, address data, tools, templates, or platform features to other customers, provided that DoorReach does not disclose Customer Data except as permitted by these Terms, the Privacy Policy, or applicable law.

15. Feedback

If you provide suggestions, comments, ideas, improvements, bug reports, or other feedback about DoorReach, you grant DoorReach a perpetual, irrevocable, worldwide, royalty-free licence to use that feedback without restriction or compensation.

DoorReach is not required to treat feedback as confidential unless we have agreed otherwise in writing.

16. User content and publication

You are responsible for content, files, notes, records, messages, canvasses, scripts, tags, survey questions, comments, and other materials submitted to DoorReach.

You represent that you have the rights and permissions necessary to submit and use such materials in DoorReach.

DoorReach does not claim ownership of Customer Data. DoorReach may use Customer Data only as described in these Terms, the Privacy Policy, and any applicable written agreement.

DoorReach may remove, restrict, or disable access to content if we reasonably believe it violates these Terms, infringes rights, creates legal or security risk, or may harm DoorReach or third parties.

17. Third-party services and links

DoorReach may integrate with or rely on third-party services, such as hosting providers, databases, payment processors, communications providers, email providers, mapping tools, analytics tools, logging tools, or error-monitoring tools.

DoorReach is not responsible for third-party services, websites, content, policies, outages, or practices, except to the extent required by law.

The Service or website may contain links to third-party websites. The inclusion of a link does not imply endorsement, approval, or control by DoorReach. Use of third-party websites is at your own risk.

18. Confidentiality

Customers and DoorReach may receive information from each other that is confidential or should reasonably be understood to be confidential.

Each party agrees to use the other party's confidential information only for purposes related to the Service and to protect it using reasonable care.

Confidential information does not include information that is publicly available, already known without confidentiality obligations, independently developed, or lawfully received from a third party without confidentiality obligations.

DoorReach may disclose confidential information to its employees, contractors, advisors, and service providers who need to know it for purposes related to the Service and who are subject to confidentiality obligations.

19. Suspension and termination

DoorReach may suspend or terminate access to the Service immediately if:

  1. you breach these Terms;
  2. payment is overdue;
  3. use of the Service creates a security, legal, privacy, operational, or reputational risk;
  4. we are required to do so by law;
  5. we reasonably believe the account or workspace is being used unlawfully or without authorization; or
  6. continued access could harm DoorReach, another Customer, an individual, or a third party.

A Customer may stop using DoorReach at any time. Cancellation, non-renewal, or termination does not relieve the Customer of amounts owed before the effective date of termination.

Sections concerning Customer Data, DoorReach Data, Assigned Address Data, Customer Work Product, privacy, confidentiality, intellectual property, fees, disclaimers, limitation of liability, indemnity, governing law, and dispute resolution will survive termination where their nature requires survival.

20. Warranties and disclaimers

The Service is provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, DoorReach disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including warranties or conditions of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, reliability, and security.

DoorReach does not guarantee campaign outcomes, election results, voter-contact success, data accuracy, address accuracy, deliverability, legal compliance by Customers, or uninterrupted access to the Service.

Customers are responsible for verifying the accuracy, legality, and suitability of data, addresses, reports, exports, scripts, workflows, and campaign activities.

21. Limitation of liability

To the maximum extent permitted by law, DoorReach, Flagtail Consulting Inc., and their directors, officers, employees, contractors, suppliers, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, opportunity, reputation, data, use, or business, even if advised of the possibility of such damages.

To the maximum extent permitted by law, DoorReach's total liability arising out of or relating to these Terms, the Service, or any related DoorReach product, pilot, project, or service will not exceed the greater of:

  1. CAD $50; or
  2. the total fees paid or payable by the Customer to DoorReach for the specific DoorReach product, pilot, project, or service that gave rise to the claim.

For pay-what-you-can access, trial access, or access where no amount is paid or payable for the specific DoorReach product, pilot, project, or service that gave rise to the claim, DoorReach's total liability will not exceed CAD $50.

For paid projects, one-time services, implementation services, consulting services, custom services, or other non-subscription work, DoorReach's total liability will not exceed the fees paid or payable for the specific project or service that gave rise to the claim, unless a separate written agreement signed by DoorReach states a different liability cap.

Nothing in these Terms limits liability that cannot legally be limited, including liability for fraud, intentional misconduct, or other liability that applicable law does not allow to be excluded or limited.

22. Indemnity

The Customer agrees to defend, indemnify, and hold harmless DoorReach, Flagtail Consulting Inc., and their directors, officers, employees, contractors, suppliers, and service providers from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising out of or related to:

  1. Customer Data;
  2. the Customer's or Authorized Users' use of the Service;
  3. breach of these Terms;
  4. violation of applicable laws;
  5. unlawful or unauthorized collection, use, disclosure, import, export, or communication of Personal Information;
  6. campaign, outreach, voter-contact, SMS, email, phone, or canvassing activities conducted by or on behalf of the Customer;
  7. infringement or alleged infringement of third-party rights by Customer Data or Customer activities; or
  8. fraud, misconduct, negligence, or wilful misconduct by the Customer or Authorized Users.

DoorReach may participate in the defence of any claim at its own expense. The Customer must not settle any claim in a way that imposes obligations on DoorReach without DoorReach's written consent.

23. Changes to the Service or Terms

DoorReach may modify the Service from time to time, including adding, changing, or removing features.

DoorReach may update these Terms at any time, at our sole discretion, without prior notice. When we update these Terms, we will update the "Last updated" date at the top of the Terms.

Changes will take effect when posted, unless a later effective date is stated.

Your continued access to or use of DoorReach after updated Terms are posted means that you accept the updated Terms. If you do not agree to the updated Terms, you must stop using DoorReach.

DoorReach may, but is not required to, provide additional notice of material changes, such as by email, in-app notice, or posting on our website.

24. Assignment

Customers may not assign or transfer these Terms without DoorReach's prior written consent.

DoorReach may assign or transfer these Terms in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, change of control, or by operation of law.

25. Force majeure

DoorReach will not be liable for delay or failure to perform due to events beyond its reasonable control, including natural disasters, labour disputes, internet or telecommunications failures, power failures, cyberattacks, third-party service outages, government action, war, terrorism, civil unrest, public health emergencies, or other events beyond reasonable control.

26. Severability

If any part of these Terms is found to be invalid, illegal, or unenforceable, that part will be limited or severed to the minimum extent necessary, and the remaining parts will remain in effect.

27. No waiver

DoorReach's failure to enforce any part of these Terms is not a waiver of its right to do so later.

28. Governing law and courts

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta, without regard to conflict-of-law rules.

The parties agree to the exclusive jurisdiction of the courts located in Alberta, Canada, except that DoorReach may seek urgent injunctive or equitable relief in any court of competent jurisdiction.
